Please pay particular attention to the terms in bold, especially those that exclude or limit our liability or restrict your rights.
Scope of services
Bao Legal (the "Platform") provides an all-in-one legal work SaaS service for lawyers, law firms, corporate legal departments and individual users. Its core modules include contract management, e-signing, evidence management, transaction monitoring, a collaboration platform, organization management and AI assistance.
The Platform is continuously updated. The availability of specific modules is as shown to you after you sign in.
Service changes and data
The Platform is continually updated. You understand and agree that:
- features may be adjusted, changed or withdrawn, and the service may be interrupted for maintenance or because of faults;
- data displayed, calculated or generated by the Platform may be wrong, incomplete or out of date;
- do not rely on the Platform as the sole basis for handling important matters, and keep your own backups of important materials.
Accounts and registration
- You must register with a genuine, valid mobile number / email address and ensure that the information you provide is true, accurate and complete.
- Your account is for your personal use only. You are responsible for safeguarding your password and verification codes; you bear the consequences of any disclosure caused by you.
- Transferring, lending or otherwise providing your account to anyone else is strictly prohibited.
- You must keep your contact details up to date so that we can notify you when necessary.
Your obligations
- Comply with the laws and regulations of the People's Republic of China, and do not use the Platform for any illegal or non-compliant activity.
- Do not upload, store or distribute illegal, infringing, false or harmful content.
- Do not attack, intrude upon, damage or interfere with the normal operation of the Platform.
- Do not scrape, copy or reverse-engineer the Platform's software or data without authorization.
- When using AI-assisted features, you understand that AI output does not constitute formal legal advice (see "AI output and legal advice" below).
Intellectual Property
The intellectual property rights in the Platform's software, interface, trademarks, trade secrets and related documentation belong to us or our lawful licensors.
The intellectual property rights in the business data (contracts, evidence, documents, etc.) you create or upload on the Platform belong to you. You authorize the Platform to use this data to the extent necessary to provide the services (such as storing, searching, displaying it to you, and transmitting it to third-party service providers with your authorization).
AI output and legal advice
The AI capabilities of the Platform are "assistive tools", not formal legal advice.
- AI-generated contract clause suggestions, risk alerts, similar-case references, document drafts and the like are for reference only in your decision-making.
- For important or sensitive legal decisions, we always recommend a final review and confirmation by a licensed, practicing lawyer.
- AI output may contain errors, including non-existent or inaccurate cases, case numbers, statutory provisions and other factual content. Before citing any AI output, you must verify it against the original source yourself (such as the judgment document or the official text of the law or regulation).
- The Platform commits to reasonable, ongoing improvement of the accuracy of AI output, but gives no absolute guarantee that AI output is entirely accurate.
- You bear any loss arising from decisions made in direct reliance on AI output without verification, except where caused by our intentional misconduct or gross negligence.
- You must not use the AI features to generate or spread unlawful content or content that infringes the rights of others. Where we find such content, we may take measures permitted by law, such as stopping generation or deleting it.
Fees and changes
Some features of the Platform are charged in points. Prices are as published under "Pricing" on our website and on the "Points & Billing" page in your workspace. You will see the amount before you buy and decide for yourself whether to buy; we will not automatically debit your bank or payment account, and we do not auto-renew.
The Platform may adjust its services or pricing as the business develops; material changes will be notified in advance.
Service availability
We will make every effort to keep the Platform running reliably. To the extent permitted by law, we are not liable for service interruptions or malfunctions caused by the following (except where caused by our intentional misconduct or gross negligence):
- force majeure (natural disasters, war, strikes, etc.);
- failures of basic telecommunications, power or cloud service providers;
- necessary system maintenance or upgrades (which we will try to carry out outside business hours, with advance notice);
- government authorities lawfully requiring suspension of the service.
Termination
You may request to close your account at any time. After your account is closed:
- we will delete or anonymize your personal information as required by law;
- you may export a backup of the business data you have created before closing your account;
- data that must be retained under laws and regulations will be kept until the statutory period expires and then deleted.
If you seriously breach these Terms (for example, by engaging in illegal activity or maliciously attacking the Platform), we may unilaterally terminate the services provided to you.
Disclaimer
To the maximum extent permitted by law, the Platform is not liable for indirect, incidental, special or consequential losses, including but not limited to loss of profits, loss of business opportunities and loss of data.
However, we remain liable in accordance with law for property loss caused by our intentional misconduct or gross negligence, and for any personal injury caused to you.
Governing law and dispute resolution
These Terms are governed by the laws of the People's Republic of China (excluding the laws of Hong Kong, Macao and Taiwan).
Any dispute arising from or relating to these Terms shall first be resolved through friendly negotiation; if negotiation fails, either party may file a lawsuit with the competent people's court in the place where the service provider is located.
Amendments
We may amend these Terms as our business changes. For amendments affecting your rights and obligations, we will notify you through a notice on the Platform and show you the amended Terms the next time you sign in; please tick the box to agree again before continuing to use the Platform. If you do not agree with the amendments, you may stop using the Platform and close your account.
Complaints and reports
If you find unlawful, harmful or infringing content generated or spread on the Platform, or disagree with AI-generated content, you may report it by email to legal@baolvshi.com. We will handle it and respond within 15 working days of receipt.
